Why Notarize Commercial Property Documents?
In Dubai's commercial real estate market, notarization is often more than a formality. Many banks, DLD processes, and counterparties require it, and for high-value transactions it is widely considered standard practice.
Bank Acceptance
UAE banks require notarized mortgage deeds and commercial property agreements as security documents for financing. A non-notarized agreement will typically not be accepted as a valid security instrument.
DLD & RERA Compliance
Dubai Land Department (DLD) requires notarized agreements for title registration of commercial properties. RERA-registered developments require notarization for SPA and off-plan assignment transactions.
Legal Enforceability
A notarized agreement has the status of a legal instrument under UAE law. In the event of a dispute, it carries significantly more evidentiary weight than a private agreement signed without a notary.
Overseas Party Protection
For commercial transactions involving foreign investors or overseas-registered companies, notarization (combined with MOFA attestation) ensures the document is recognized in both the UAE and the counterparty's home jurisdiction.
Our Process
Document Review
We review your commercial property documents to confirm the correct notarization pathway: Dubai Courts, RERA registration requirements, or DLD submission standards.
Drafting or Review of Agreement
If you need the document drafted from scratch, we prepare it bilingually (Arabic and English) to meet Dubai Courts requirements. If you have an existing draft, we review it for enforceability before notarization.
Notarization at Dubai Courts
All parties (or their authorized representatives via POA) attend signing at our Deira office or Dubai Courts. The document is officially notarized, witnessed, and sealed.
MOFA Attestation (If Required)
For property documents involving overseas parties (foreign investors, non-resident shareholders, or overseas registered companies), MOFA attestation confirms the document for international use.
Frequently Asked Questions
Do commercial property agreements in Dubai need to be notarized?
Not all commercial agreements require notarization, but many benefit significantly from it, and some are required by banks, DED, or counterparties. Notarization at Dubai Courts makes a commercial agreement enforceable as a legal instrument under UAE law, provides a clear evidentiary record, and is required by most UAE banks for mortgage documentation. For high-value commercial transactions, notarization is standard practice.
What is the difference between notarized and non-notarized property agreements?
A non-notarized agreement is a private contract enforceable under UAE contract law but may face evidentiary challenges in court and is not accepted by Dubai Land Department (DLD) for title transfer registration. A notarized agreement is witnessed by a licensed notary at Dubai Courts, giving it a higher legal standing, making it acceptable for DLD registration and bank submissions, and reducing risk for both parties in the event of a dispute.
Can a foreign company notarize a commercial property agreement in Dubai?
Yes. Foreign companies and overseas investors regularly notarize commercial property agreements in Dubai through our Deira office. If company representatives cannot attend in person, a notarized and authenticated Corporate POA authorizing a local representative to sign on behalf of the company is the standard solution. We prepare the POA alongside the main property document.
How long does commercial property notarization take?
For documents that are already drafted and approved by all parties, notarization at Dubai Courts can typically be completed in one business day, often the same day if you contact us in the morning. If drafting is needed, allow an additional 1β2 business days depending on complexity. MOFA attestation adds 1β3 working days standard, or same-day express at an additional fee.
Is a notarized commercial lease accepted for DED trade license applications?
Yes. A notarized commercial lease (along with Ejari registration) is accepted for DED (Dubai Department of Economy and Tourism) trade license applications. We ensure the lease document meets the formatting and content requirements that DED and Ejari require, so your license application proceeds without delays.
What documents do I need to bring for commercial property notarization?
Typically: Emirates ID or passport of all signing parties (or authorized representatives), trade license copy for each company party, the draft agreement (if already prepared), and any property title or registration documents referenced in the agreement. For overseas company parties: company registration certificate and board resolution authorizing the signatory, both authenticated for UAE use.
